These Terms of Use (“Terms”) govern access to and use of the CXGear website, application, APIs, and related services (collectively, the “Service”) operated by CXGear (“we”, “us”, or “our”) at https://cxgear.ai. By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Description of the Service

CXGear is a customer communication operating system that helps organizations orchestrate outbound and inbound communication workflows (“spinners”) across channels such as WhatsApp, SMS, email, and voice. The Service includes data management, integrations, runtime execution, analytics, and related tools.

You acknowledge that Meta or other providers may restrict, suspend, or revoke access to messaging APIs for policy violations, and CXGear is not liable for such actions.

5. Customer data and privacy

You retain ownership of data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy. You are the data controller for end-user communications you initiate; CXGear acts as a processor where applicable.

6. Integrations and third-party services

The Service may connect to third-party platforms (Meta, carriers, CRMs, LLM providers, etc.). Your use of those services is subject to their terms and fees. We are not responsible for third-party availability, changes, or policies.

7. Fees and trials

Paid plans, usage metering, and billing terms will be specified in an order form or pricing page. We may offer free trials or beta features “as is” with no commitment. Failure to pay may result in suspension.

8. Intellectual property

CXGear and its licensors own the Service, software, documentation, and branding. Except for the limited right to use the Service under these Terms, no rights are granted. Feedback you provide may be used without restriction or compensation.

Non-public features, documentation, or pricing shared with you may be confidential. Beta or preview features may change or be discontinued without notice.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OR SPECIFIC DELIVERY OUTCOMES FOR MESSAGES OR CALLS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CXGEAR AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CXGEAR IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100) IF NO FEES WERE PAID.

You will defend, indemnify, and hold harmless CXGear from claims arising out of your use of the Service, Customer Data, messaging content, or violation of these Terms or applicable law.

13. Termination

Either party may terminate access according to account settings or written notice. We may suspend or terminate immediately for material breach. Upon termination, your right to use the Service ceases; provisions that by nature should survive (liability limits, indemnity, governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules, unless mandatory local consumer protection laws apply. Disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India, unless otherwise required by law.

15. Changes

We may modify these Terms by posting an updated version on this page. Continued use after changes become effective constitutes acceptance. Material changes may be notified by email or in-app message.
